Standard Terms & Conditions


1.  All costs outlined in the Service Proposal will be treated as approved by Client prior to signup and commencement of the work. 


2.  Monthly service fees will be collected via Ezypay Direct Debit facility. Please note that Ezypay will charge a failed payment fee of up to $16.50 AUD for each unsuccessful debit.  Campaign is automatically suspended until overdue invoice is paid, therefore late payments may affect your search engine rankings. 


3. Pricing outlined in the Service Proposal is fixed (i.e. no price increase) for a period of twelve (12) months from date of endorsement.


4.  If any of Clickhook SEO website codes are deleted, changed or altered by you or your developers, or you or your developers do not implement our SEO changes as directed, or in case of suspension of work due to late payments, any guarantee becomes null and void. Clients may be charged an additional fee for re-optimising the website, based on the hourly rate starting from $50/hour (excl. GST). 


5.  Clickhook does not charge setup fees for SEO campaigns.  There is no deferment of the agreed monthly payments that commences at the beginning of the SEO campaign.


6.  Clickhook has all intellectual property rights and ownership of our SEO program, and therefore, reserves the right to withdraw the program on any grounds deemed suitable by company directors.


7.  A portion of our services are advisory. The client bears sole responsibility for the use and implementation of these services in the client company. Any timeframes or dates we commit to either in this proposal or via phone/email conversations we have in the future are to be taken as a guideline only and are not binding. We will endeavour to do our best to reach these dates but many things are out of our control so we cannot guarantee any deadline.


8. Client Warranties: When you agree to sign up, you are acknowledging the following:

8.1      At no point does our use of your data constitute a breach of copyright, defamation, breach of confidence, interference with privacy or any 
contravention of  any other law or right whatsoever; 

8.2    Our use of your data in advertising will comply with all relevant laws and applicable codes of conduct at all times; 

8.3    You must do everything in your power to ensure you protect passwords and access to any and all relevant systems; 

8.4    It is your responsibility to protect any property or interests arising from us providing you services;

8.5    You agree to not try and recruit our staff or contractors for the duration of your engagement with us, or for up to a year after our engagement ends. 


9. Client must acknowledge the following with respect to services:

9.1      All fees are non-refundable.

9.2      All fees, services, documents, recommendations, and reports are confidential.

9.3      Clickhook has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.

9.4       Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Clickhook does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term.

9.5      Google has been known to hinder the rankings of new websites (or pages) until they have proven their viability to exist for more than 2-4 months. This is referred to as the “Google Sandbox”.Clickhook assumes no liability for ranking/traffic/indexing issues related to Google Sandbox.

9.6       Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and does not reappear within 30 days of campaign completion, Clickhook will re-optimize the website/page based on the current policies of the search engine in question.

9.7       Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all paid for inclusion or expedited service fees.

9.8       Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. Clickhook does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.


10. Indemnity: You indemnify us against any loss, damage, costs, claims and expenses which we may incur (including legal fees) from: • The existence and/or publication of any data and/or content that is on or forming part of your website; • The publication or use of your data by us for the purposes of providing you any services in accordance with this agreement; • When we make your data available to anybody authorised to use your current password(s); • When you make your data available to anybody un-authorised to use your current password(s) either deliberately or through negligence; • Any of your warranties under this agreement being, or becoming false, misleading or deceptive; • Any loss, damage, injury, or claim by any user arising as a result of reliance on any fact, statement or opinion in your data (whether negligent or otherwise); • Any third party claims of defamation, for breach of intellectual property rights or breach of your obligations under the Privacy Act, arising from your use of our services or solutions we provide you, death and injury to any person or damage to property caused by the client, its employees or contractors. Client agrees to forever indemnify and hold harmless Clickhook from and against any loss, cost or expense resulting from any activities related to the subject matter.


11.  CreditYou agree that we may use various snapshots of your completed website, any associated statistics/metrics or your logo as part of our portfolio in print or web format and place our “SEO by Clickhook” within the footer of your website. Please contact us before approving this proposal if you do not agree to this.


12. Cancellation of services -30 days notice must be made in writing by email. Please send notice to [email protected].


13. This agreement is to be governed by the laws of the State of Victoria and the parties hereby submit to the jurisdiction of the courts and Tribunals of Victoria and of the courts hearing appeals from those courts and Tribunals.


1. There is a minimum three month term for the supply and charging of PPC Services by ClickHook to the Customer.

2. Fees

2.1 The fee for PPC Services is stated as a base monthly fee plus GST payable in advance.

2.2 The first monthly fee plus GST is payable on setting up the account and payable monthly thereafter.

2.3 Monthly fees will be calculated as the base monthly fee stated in the Customer Proposal plus GST per month or a specific percentage if applicable of the total Adwords spend, whichever is greater. Adjustments for amounts greater than the monthly fee will be made at the end of each month and be payable on the next invoice issued to the Customer.

3. ClickHook will offer a managed Adwords service with the following provisions:

3.1 ClickHook will setup a new Adwords account for the Customer.

3.2 ClickHook will have sole access and retain ownership of the new Adwords account. As there is no campaign setup fee charged from the client, clickhook reserves the right for not sharing the campaign details with client.

3.3 Customer will provide the Clickhook via Google Analytics with access 24/7 to reporting and campaign date.

3.4 ClickHook will endeavour to spend the predetermined Google click cost budget each month. ClickHook will not be liable for any under or over spend.

3.5 The Customer is liable for all Adwords charges generated from the Adwords account.

4. Payment

4.1 All fees are payable monthly in advance.

4.2 All fees including Click costs payable to Google shall be paid by the Customer either by:

4.2.1 the provision of a credit card by the Customer to ClickHook that can be used to pay Google click costs directly to Google up to a defined spending budget as confirmed by the Customer together with the fees of ClickHook; or

4.2.2 the Customer providing a direct debit authority the fees of ClickHook including Google click cost budget for payment directly into the ClickHook bank account which shall be transacted each month before ClickHook makes payment to Google. ClickHook will raise an invoice for the click costs and GST and be responsible for paying Google for the click costs due from the pre deposited amount.

5. Termination of service After the initial three month term, to terminate the PPC services, the Customer has to give at least one month’s notice in writing of termination and if notice is given during a calendar month, the notice will be deemed to have been given on the last day of that calendar month and the Customer will be liable for the cost of the Services to the expiration of the notice period.
